Working note:
1. Purchase Consideration:
Issue price of each debenture:
₹ 20 + (25% of ₹ 20) = ₹ 25
Value of 2,00,000 debentures:
2,00,000 × ₹ 25 = ₹ 50,00,000
Therefore,
Purchase Consideration = ₹ 7,00,000 + ₹ 50,00,000 = ₹ 57,00,000
2. Goodwill:
Agreed value of assets:
35,00,000 + 8,00,000 + 4,00,000 + 4,00,000 = ₹ 51,00,000
Agreed value of liabilities:
₹ 3,00,000 + ₹ 1,00,000 = ₹ 4,00,000
Net Assets:
₹ 51,00,000 − ₹ 4,00,000 = ₹ 47,00,000
Goodwill = ₹ 57,00,000 − ₹ 47,00,000 = ₹ 10,00,000
