The composition of a Nagar Panchayat consists of members whose total number is fixed by the government from time to time. These members are directly elected by the people of the area on the basis of adult franchise. For the purpose of the election, the area under the Nagar Panchayat is divided into wards, and each ward elects one member. In addition to the elected members, the Member of the State Legislative Assembly (MLA) representing that area serves as the ex-officio member of the Nagar Panchayat.

The tenure of the Nagar Panchayat is five years, starting from the date of its first meeting. Elections must be held before the expiry of this term. If the Nagar Panchayat is dissolved before its term ends, re-election must be held within six months, and the newly elected body serves only for the remaining period of the original term.
